I'd have to say not worth it. With the price and the work you'd have to put into you can find something better out there.

For instance:

Those are just three examples. I realize that they probably arent in your area, but IMHO there are better trucks for sale out there.

No way. With that milage and bad tranny it's no where near worth it. I have a '99 5.4L I paid $6000 on it but it had under 100k. And I put another 2K into it.

If it's 4x4 offer then 2 grand and go to $2500 but that's it and if it's 4x2 I wouldn't pay 2 grand for it.

My 97 has 225k on it and is 4x4 and I got it for $600 with a blown motor, so the miles don't matter as much. I had a motor I bought and rebuilt already which cost me about $1000 and I've put probably $2000 in it but I replaced some stuff I didn't really have to just because I was already in there plus I've done some mods. Odds are you'll have to put another $1000 in it along with the trans because there's sure to be other things wrong with it so you'll be around $6000 by the time you're done.

Find out your prices on replacing parts and labor, if you don't do it yourself, and you'll see it adds up quick. You'd be better putting that money towards a newer truck or one with less miles.

I paid 2200 for my 97 4x4 step side with a toasted transmission. I put another 2000 for a rebuilt tranny and some other work. My truck has 203,000 miles with no hint of quiting yet. It wasnt a fantastic deal but not a horrible deal either. Its my farm/boat/work/go anywhere truck. You could maybe get the price down more if you talk about the blown tranny and then just put a used one in for a quick fix. Its all about how bad you want it.

Way too high. We just (in January) got our 2001 XL scab, 4.6L, less than 140k miles, with snug top camper shell for 4350 in perfect running condition. Had to look for a couple weeks 'till the right one turned up. Owner was asking $5k, but my wife talked him down.

It wouldn't be a bad price if it were running fine and didn't need a whole bunch of work, but needing a transmission it is way too much I think...
