Nope you dont have to do any drilling, the 351 fits in the same place as the 302. And I actually ran my 5.8 with the 5.0 computer with no problems, there really isnt much difference between the two engines, same # an hour injectors and such. The 5 8 has a diff firing order, but most everything else is the same except the brackets on the front. Its got the same trans bolt pattern too.

As for the chip it just kinda depends on what you wanna spend, I wouldnt in my opinion, I did a diablo sport chip for mine and didnt notice it was even on there, 300 bucks for 15 or 20 hp isnt worth it to me, I'd rather do an exhaust or something I'm gonna notice or atleast hear.

As for your cat, if your in a non emissions area...cut it the hell off. Otherwise I dont see anything wrong with the high flow, I ran mine with just a cat for years and it sounded great...no muffler or anything. Right now I've got true dual with flo pro mufflers and no cat....sounds freakin awesome.

I'm sure a throttle body would help, I just did a spacer on mine, throttle bodies arn't real cheap either. I think the best bet if you dont wanna put a 5 8 in it just do a good exhaust, headers, cold air, maybe an ignition upgrade...like a MSD. With those few things you'll notice a difference. Maybe slap a couple turbos on it too...haha.

Screw the cat, run headers and straight pipes through 18" glasspacks.

Couple ways to do the conversion either, find a donor truck 96 or so truck and steal the engine harness out of it. Personally I bought the kit from massair.com, it was pretty dam pricey (1500 bucks) but it comes with everything, mass air sensor, harnesses, dual o2 sensors, and an adjuster for the mass air sensor. Along with all your piping for your intake and an air filter. Plus the A9L computer thats been flashed for your application. Its makes a world of difference, I've got a buncha engine goodies and it made it run that much better.
