Holdback is the cash the dealer gets from the manufacturer. So if the invoice is 38k and the dealer sells it to you for 38k, they are not selling it for no profit like they will try to tell you because they are actually still netting the $1200 hold back.

There's possibly other manufacturer to dealer incentives that aren't published too.

But if not, the dealer has to make something so getting them down to $1,219 under invoice probably isn't going to happen that's why $500-$1,000 below invoice (then minus rebates) is usually a good target.

So if invoice is example 40,000. Try to get them down to 39,000 and work back up. So say we settle on 39,500. Then subtract rebates from that? I think Ford is currently offering about 7000 in rebates. So 32,500 plus whatever cash I have? Or am I off on my thought process?
