Working out a trade on my 96 f150 4x4 lwb 4x4 5.0l 130k miles for a 96 f250 powerstroke lwb 4x4 238, any thoughts or reasons why I should stay away from this? Thanks in advance

Do it! Those are the best years of powerstroke. No smog no real problems with the motor, tons of power and it probably gets better gas mileage than your 5.0.
My best friend/ room mate has a 95 powerstroke 5speed 4x4. It's got 320,xxx miles on it and is still pushing 400 hp and 900+Tq. And when he turns his chip down it can gets 21 mpg.
I've worked on a bunch of them. Most the problems are with the fuel pump and fuel bowl leaking, turbo leaks(not being able to build boost)..... Thats really all I can think of.
Great motor, great truck

His only issue with the truck is it has a exhaust lea in the down pipe, his wife hates the diesel, and won't drive it, that's why he's getting rid of it.
