Tranny mount to engines is the same, 302 V-8 or 300 I-6. Contrary to what Ryan is thinking the flywheels for a standard trans versus the auto trans are not the same part. The bolt hole pattern is probably the same, so yes the manual 302 will fit in place of the I-6 EOD. Might consider counting the ring gear teeth and the bendix teeth to have proper gear mesh.

Thanks guys!

Again I will purchase a new flywheel and clutch kit for the 300I6 when I do the swap. That should fix everything.

It won't work guy's! The E40D need's a computer to shift!

Also the speed sencore on the diff,is connected to the ECM and that's how the E40D know's when to shift,If its manual the sencore on the diff is only for the Speedometer and the ABS.

Your going to have to change all the wire harnesses from one truck to another...

The manual doesn't have the control harness that the automatic does, so that plug won't be used. Automatics usually don't have the floor cut out but the lines are there where the hole would be. Automatics usually don't have the hole drilled for the clutch master cylinder either, and automatics don't have the reinforced firewall for the master. You'll have to measure the lengths of both trannys to see if you'll need a new driveshaft. Wiring in the clutch switch should be easy, easier if it does have a plug where either switch would plug into.
